2024 Cat Footwear Back To [Construction] School Donation Agreement

Cat Footwear agrees to pay the ThinkBIG Technician Academy a donation to be calculated as follows: five percent (5%) of Cat Footwear’s Net Demand of the Colorado Equip Products, up to a maximum amount of $10,000 (the “Donation”). “Net Demand” is defined as the gross invoice price of the Colorado Equip products sold by Cat Footwear less (i) freight charges and taxes separately stated; (ii) trade discounts separately shown and charged for on the invoice, and/or actually taken by customers and allowed by Cat; (iii) any refunds or credits for returns of Colorado Equip products; and (iv) credits or allowances granted as an accommodation to customers in the nature of ordinary and customary “markdown chargebacks” or “stock adjustment returns” not otherwise deducted under (ii) or (iii). The donation shall be paid no later than December 31, 2024 and shall be accompanied by a report showing sufficient support for the calculation of the donation.

Period of Agreement: This Agreement will commence on August 1, 2024 and will end on August 31, 2024 (The “Term”)
